1. Agreement and authority
These Client Portal Terms govern access to Chovadé’s private review and delivery system. By accepting them or using the portal, you confirm that you are authorized to act for the client organization associated with your account. These terms supplement the applicable project agreement. If they conflict, the signed project agreement controls for that project.
2. Authorized accounts
Your account is personal to you or assigned to your organization. Keep credentials confidential, use a strong unique password, and notify Chovadé promptly if access may have been compromised. You may not share access with an unauthorized person or use another person’s account.
3. Confidential review material
Review media, working files, concepts, notes, links, watermarks, and unreleased deliverables are confidential unless Chovadé confirms otherwise in writing. They may be viewed only by authorized project participants for evaluation and decision-making. They may not be copied, captured, redistributed, published, presented publicly, used in another production, or supplied to an AI or machine-learning service without written permission.
4. Review mode and delivery mode
Files in Review mode are provided for protected streaming and review. Download controls may be disabled and identifying watermarks may be displayed. Attempts to bypass access restrictions, remove watermarks, extract protected files, or defeat portal security are prohibited.
Approving a version records your creative sign-off; it does not release the master file. Chovadé separately shares prepared review copies and releases each exact approved master with current recorded licence and payment terms. Where your agreed terms require payment before release, payment must be complete before download. Missing or changed licence or payment-term records prevent master downloads until the studio verifies them. Marking a project Delivered does not release other versions or historical drafts. Reviewing, commenting on, and approving shared review copies remain available before payment. Access remains subject to the signed project agreement, retention schedule, and third-party rights.
5. Notes, changes, and approvals
Comments, timecodes, change requests, and approvals are recorded against a specific version. An approval authorizes Chovadé to proceed based on that version and may close the related review stage. Approval records support the project decision trail but do not replace pricing, scope, licence, or ownership terms in the written project agreement.
You are responsible for reviewing the correct version and for consolidating feedback from your organization before approval.
6. Client-supplied material
You confirm that you have the rights and permissions needed for material you upload, transmit, or ask Chovadé to use, including trademarks, music, footage, likenesses, personal information, scripts, datasets, and reference material. You must identify restrictions and obtain required performer, location, privacy, copyright, and publicity permissions.
7. Ownership and permitted use
Ownership, licences, usage territory, media, term, exclusivity, source files, working files, and final deliverables are governed by the project agreement. Portal access by itself transfers no ownership and grants no public or commercial-use licence. Unapproved concepts, drafts, tests, and working material remain restricted.
8. Generative and automated tools
Projects may use visual effects, generative systems, machine learning, automation, or local AI workflows where appropriate to the agreed creative process. Outputs may require human selection, revision, compositing, and rights review. Any project-specific restrictions on tools, training data, confidentiality, likenesses, or deployment should be recorded in the project agreement.
9. Privacy and security
Portal information is handled under the Privacy Policy. Chovadé applies reasonable safeguards, but no online service is completely immune from interruption or unauthorized access. Report suspected account misuse or unintended disclosure immediately to info@chovade.com.
10. Availability, retention, and suspension
The portal is a project workspace, not a permanent archive. Chovadé may remove older media, close accounts, or suspend access after delivery, project cancellation, inactivity, non-payment, security concerns, misuse, or expiry of an agreed retention period. Keep authorized final downloads in your own managed storage.
11. Liability
To the extent permitted by law and subject to the project agreement, Chovadé is not liable for indirect, incidental, special, consequential, or punitive loss arising from portal use, delayed access, or loss of material that the client was responsible for archiving. Nothing excludes liability that cannot legally be excluded.
12. Governing law and changes
These terms are governed by the laws of British Columbia and the applicable laws of Canada. We may issue a new version when the portal or legal requirements change. Clients may be required to accept the updated version before continuing to use the portal.
